Official Rules
January 22, 2009 – March 12, 2009

PRELIMINARY INFORMATION: NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. INTERNET ACCESS & VALID E-MAIL ADDRESS REQUIRED.. Void in Alaska, Hawaii, Guam, Puerto Rico and all other U.S. territories and possessions, all other jurisdictions outside the forty-eight (48) contiguous states of the United States/District of Columbia and where prohibited. The Burn Notice Covert Ops Sweepstakes (“Sweepstakes”), which will take place in conjunction with the USA Network television show Burn Notice (“Show”), begins on January 22, 2009, at 10:00:01 p.m. ET and ends on March 12, 2009, at 9:59:59 p.m. ET (“Sweepstakes Period”). All times in these Official Rules refer to Eastern Time (“ET”). Odds of winning depend on the number of eligible entries received. Sweepstakes is subject to all applicable federal, state and local laws.

ELIGIBILITY: Open only to permanent legal residents of the forty eight (48) contiguous states of the United States and the District of Columbia who are physically located and residing therein, and who are eighteen (18) years of age or older, or the age of majority in their states of residence, whichever is older, as of January 22, 2009. Entrants must have either a valid social security number or a valid U.S. personal tax identification number. Residents of the states of Alaska and Hawaii and residents of Guam, Puerto Rico and all other U.S. territories and possessions (as well as residents of all other jurisdictions outside the forty eight (48) contiguous states of the United States/District of Columbia) are not eligible to enter or win this Sweepstakes. If entrant is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain consent from his/her parent or legal guardian prior to submitting any personally identifiable information. Officers, directors, and employees of “Sweepstakes Entities” (as defined below), members of these persons’ immediate families (spouses and/or parents, children, and siblings, and their spouses, regardless of where they reside), and/or persons living in the same households as such persons (whether or not related) are ineligible to enter or win the Sweepstakes. Sweepstakes Entities, as referenced herein, shall include Sponsors (as defined below), Administrator (as defined below), and their respective parent, subsidiary, and affiliate companies and their administrative, advertising, and promotion agencies, and any other entity involved in the development, administration, promotion, or implementation of the Sweepstakes.

TO ENTER: To Enter The Sweepstakes By Playing The Game: Beginning at 10:00:01 p.m. ET on January 22, 2009, coinciding with the scheduled initial television broadcast of the Show (check local listings for exact dates and times when Show will be aired), viewers will be invited to participate in the Burn Notice Online Game (“Game”) and Sweepstakes. With each initial television broadcast of a new episode of the Show, one (1) new Game mission (each a “New Game Mission”) will be introduced on the Burn Notice Online Game web site, located at burnnoticeops.com (“Web Site”) (see below chart for the Start Dates and Times of the New Game Missions). To enter the Sweepstakes by playing the Game, access the Web Site and follow the on-screen instructions to create a Burn Notice account by completing the Sweepstakes registration form. No purchase or payment is required to create a Burn Notice account. The Sweepstakes registration form consists of your first and last name, complete home address (including city, state and ZIP code) daytime telephone number (including area code), email address, gender, date of birth, answers to the General Motors marketing questions (questions must be answered, but content of answers will not affect participation in Sweepstakes), acknowledged acceptance of the Official Rules and the Burn Notice user name and password of your choice (“Sweepstakes Registration”). You only need to complete the Sweepstakes Registration once; thereafter you may play the Game by entering your Burn Notice user name and password, clicking on the “Play Now” link, and then following the online mission instructions for each New Game Mission. Previous Game Missions will be available on the Web Site for play/Game Entry during the entire Sweepstakes Period. Burn Notice account holders who log in and successfully complete all seven (7) Game missions will be automatically entered once into the Sweepstakes drawing (“Game Entry”). You may play the Game without registering for the Sweepstakes and you may enter the Sweepstakes without playing the Game, as further described below.

To enter the Sweepstakes without Sweepstakes Registration and Game play: Send an email with the following information: your first and last name, complete home address (including street address, city, state and zip code), date of birth, telephone number (including area code), email address and with the subject line “Burn Notice Entry” to webmaster@usanetwork.com (“Email Entry”, and together with “Game Entry” referred to herein collectively as “Entry”).

LIMIT ONE (1) ENTRY IN TOTAL PER PERSON DURING THE SWEEPSTAKES PERIOD. Regardless of the method of entry, you are limited to one (1) Entry per person. In addition, once a person has used an email address for either form of Entry, that email address may not be used for entry again.. Multiple Game Entries or Email Entries (collectively, “Entries”) received from any person or email address beyond the stated limit will be void. Entries must be received by 9:59:59 p.m. ET on March 12, 2009. The Administrator’s computer will be the official timekeeper for this Sweepstakes. All Entries become the property of Universal Television Networks, 30 Rockefeller Plaza, 21st Floor, New York, NY 10112; NBC Universal, Inc., 30 Rockefeller Plaza, New York, NY 10112; and General Motors Corporation, 100 Renaissance Center, Detroit, Michigan 48265 (collectively, “Sponsors”) and will not be acknowledged or returned. Entries generated by a script, macro, or other automated means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. If there is a dispute as to the identity of an online entrant who made a potentially winning Entry, Administrator will deem that the Entry was made by the authorized account holder of the email address. The “authorized account holder” is defined as the natural person to whom the email address is assigned by an Internet service provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.  Any personal information supplied by entrants to Administrator and Sponsors will be subject to Sponsors’ respective Privacy Policies posted at http://www.usanetwork.com/privacy/, http://www.nbc.com/Footer/Privacy/ and http://www.gm.com/privacy/. Except where prohibited by law or Sponsors’ Privacy Policies, entry constitutes permission to use entrant’s name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity in any and all media now or hereafter known throughout the world in perpetuity without additional compensation, notification, permission, or approval. Game entrants will have the opportunity to receive information from Sponsors and selected partners by checking the appropriate box, although doing so (or abstaining from doing so) is not required and will not affect one’s odds of winning a prize in the Sweepstakes. If, at any time, you no longer wish to receive materials from Sponsors and/or selected partners, please go to their respective Privacy Policies and follow the procedures indicated.

WINNER SELECTION AND NOTIFICATION: On or about March 26, 2009, fifty (50) potential first prize winners (collectively, “First Prize Winners”) and one (1) potential grand prize winner (“Grand Prize Winner”) will be selected in a random drawing by employees or representatives of Administrator from among all eligible Entries received during the Sweepstakes Period. Administrator will make two (2) attempts within a twenty-four (24) hour period to notify potential First Prize Winners and the Grand Prize Winner at the phone number and/or email address submitted at the time of entry. Each potential winner (or if a resident of a jurisdiction that deems winner to be a minor, his/her parent or legal guardian) will be required to execute and return (via shipping service pre-paid by Administrator) an Affidavit of Eligibility, Liability Release, Publicity Release (where legal) an IRS Form W-9 and any other documentation that Administrator may require (collectively, “Sweepstakes Documents”) within five (5) days after receipt of those documents by the potential winner or the potential winner may be disqualified and an alternate potential winner may be selected in a random drawing from the remaining eligible Entries at Administrator’s sole discretion. By returning the completed Sweepstakes Documents, the potential winner attests to the authenticity of his/her Entry. If a potential winner cannot be reached, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, and/or if his/her prize or prize notification or prize correspondence is returned as undeliverable, such potential winner will be disqualified and an potential winner may be selected in a random drawing from the remaining eligible Entries at Administrator’s sole discretion. First Prizes, Prize notification and Sweepstakes Documents will only be shipped addresses in the forty eight (48) contiguous states of the United States or the District of Columbia.

PRIZES: First Prizes:: There will be fifty (50) first prizes (each a “First Prize”) awarded, each consisting of the following: One (1) Burn Notice Customized Zipper Pouch; one (1) Burn Notice Season One DVD; one (1) copy of the "The Fix" Burn Notice book; one (1) Burn Notice Long sleeved t-shirt; one (1) pair of Burn Notice branded binoculars; one (1) Burn Notice branded Mag Flashlight; and one (1) Burn Notice branded watch (collectively, “BN Techy Pack”). The Approximate Retail Value (“ARV”) of each First Prize is one hundred and seventy five dollars ($175). Total ARV of all First Prizes is eight thousand seven hundred and fifty dollars ($8,750). Grand Prize: There will be one (1) grand prize (“Grand Prize”, and together with the First Prizes, collectively referred to herein as “Prize”) awarded consisting one (1) deluxe home entertainment system (“Deluxe Home Entertainment System”). Deluxe Home Entertainment System consists of the following: one (1) Sharp Aquos 65” 1080p 120 Hz Flat Panel TV; one (1) Sony Bravia 5-1 Channel Micro Home Theater (includes four (4) satellite speakers, one (1) center-channel speaker and one (1) subwoofer), one (1) iPod cradle; one (1) MacBook Pro 15-inch Laptop (includes 2.4GHz processor, 2 GB Memory, Blu-ray Disc Player, eighty (80) GB Hard Drive, and built-in Internet-ready Wi-Fi; and installation and set up of the Deluxe Home Entertainment System in Grand Prize Winner’s home (“Concierge Service”) (exact date, time and scope of Concierge Service to be determined by Administrator in its sole discretion). The ARV of the Grand Prize is ten thousand seven hundred dollars ($10,700). The total ARV of all prizes is nineteen thousand four hundred and fifty dollars ($19,450). Sharp Electronics Corporation, Sony Corporation America, and Apple, Inc., are not Sponsors of, or in any way associated with this Sweepstakes. All Prize details are at Administrator’s sole discretion. Prizes will be awarded “as is” with no warranty or guarantee, either express or implied by Sponsors and Administrator. Grand Prize winner will receive an IRS Form 1099 from Administrator for the total ARV of Grand Prize for the calendar year in which Grand Prize was won. Administrator reserves the right to substitute a similar Prize (or Prize element) of comparable or greater value due to prize unavailability for any reason at their sole discretion. All federal, state and local taxes and other expenses, costs, or fees associated with the acceptance and/or use of a Prize are the sole responsibility of the winners. Prizes cannot be transferred by winner(s) or redeemed for cash and are valid only for the items detailed above, with no substitution of a Prize by a winner. Each winner is solely responsible for all costs, incidentals, and any other expenses not specifically mentioned as being included, including any additional installation or requested product upgrades and/or options. No substitution, transfer, or cash equivalent for Prizes (or Prize components) permitted by winners. Limit one (1) prize per person, per family, or per household.

CONDITIONS: By entering the Sweepstakes, each entrant agrees for entrant and for entrant’s heirs, executors, and administrators (a) to release and hold harmless Sweepstakes Entities and their respective officers, directors, employees, shareholders, representatives, and agents (collectively, “Released Parties”) from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether or not caused by negligence, from such entrant’s participation in the Sweepstakes and/or his/her acceptance, possession, use, misuse, or inability to use Prize (including any travel related thereto); (b) to indemnify Released Parties from any and all liability resulting or arising from the Sweepstakes and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to Prize, including express warranties provided exclusively by the Prize supplier that are sent along with Prize; (c) if selected as a winner, to the use of such entrant’s name, voice, image, and/or likeness by Released Parties for publicity, promotional, and advertising purposes in any and all media now or hereafter known throughout the world in perpetuity without further compensation, notification, permission or approval and, upon request, to the giving of consent, in writing, to such use (where legal); and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error herein or in the Sweepstakes itself, and to be bound by all actions of the Administrator, whose decisions are binding and final on all matters related to this Sweepstakes. Failure to comply with these conditions may result in disqualification from the Sweepstakes.

ADDITIONAL TERMS: Administrator reserves the right to terminate the Sweepstakes or permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules. Any attempt to deliberately damage the Sweepstakes or the operation thereof is unlawful and subject to legal action by Administrator, who may seek damages to the fullest extent permitted by law. Administrator reserve the right to cancel or modify the Sweepstakes should any computer virus, malfunction, or other cause beyond their control corrupt the administration, security, or proper operation thereof. In the event of cancellation, Prize(s) will be awarded in a random drawing from among all eligible, non-suspect Entries received prior to the event requiring cancellation. Notice of cancellation or modification will be posted on the Web Site. The failure of Administrator or Sponsors to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities (excepting compliance with applicable codes and regulations), or other “force majeure” event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants’ or to any other person’s computer and/or telephone relating to or resulting from entering or downloading materials or software in connection with the Sweepstakes. Released Parties are not responsible for telecommunications, network, electronic, technical, mobile telephone service, or computer failures of any kind; for inaccurate transcription of Entry information; for errors in any promotional, marketing, or prize notification or fulfillment materials or in these Official Rules; for any human or electronic error; or for Entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned. Due to the nature of television, the broadcast dates and times of each initial television broadcast of a new episode of the Show (and, therefore, the dates and times of the posting of the New Game Missions, the entry and the random drawings) are subject to change. In the event the Show is canceled prior to exhibition, the Sweepstakes will terminate as of the date of cancellation and Administrator reserves the right, at its sole discretion, to award any remaining prize(s) in a random drawing from among all eligible, non-suspect entries received up to the time of such cancellation. Any changes will be posted on the Web Site.

DISPUTES: The Sweepstakes is governed by, and will be construed in accordance with, the laws of the State of New York, and the forum and venue for any dispute shall be in New York, New York. If THE controversy or claim is not otherwise resolved through direct discussions or mediation, it shall THEN be resolved by FINAL AND binding arbitration administered by JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., in accordance with its Streamlined Arbitration Rules and Procedures or subsequent versions thereof (“JAMS Rules”). The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be licensed to practice law in new york. All proceedings brought pursuant to this paragraph will be conducted in the County of new york. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.
