The Burn Notice Covert Ops: Vegas Heist Sweepstakes (“Sweepstakes”), which will take place in conjunction with the USA Network television show “Burn Notice” (“Show”), begins on January 20, 2010, at 12:00:01 p.m. ET and ends on March 11, 2010, at 9:59:59 p.m. ET (“Sweepstakes Period”). All times in these Official Rules refer to Eastern Time (“ET”). Odds of winning depend on the number of eligible entries received. Sweepstakes is subject to all applicable federal, state and local laws.

ELIGIBILITY: Open only to permanent legal residents of the forty eight (48) contiguous states of the United States or the District of Columbia who are physically located and residing therein, and who are eighteen (18) years of age or older, or of the age of majority in their states of residence, whichever is older, as of January 20, 2010. Entrants must have either a valid social security number or a valid U.S. personal tax identification number. Furthermore, entrants must possess a valid U.S. driver’s license issued by one of the fifty (50) United States or the District of Columbia and proof of such will be required if an entrant is selected as a potential winner. Residents of the states of Alaska and Hawaii and residents of Guam, Puerto Rico and all other U.S. territories and possessions (as well as residents of all other jurisdictions outside the forty eight (48) contiguous states of the United States/District of Columbia) are not eligible to enter or win this Sweepstakes. If entrant is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain consent from his/her parent or legal guardian prior to submitting any personally identifiable information. Officers, directors, and employees of Sweepstakes Entities (as defined below), members of these persons’ immediate families (spouses and/or parents, children, and siblings, and their spouses, regardless of where they reside), and/or persons living in the same households as such persons (whether or not related) are ineligible to enter or win the Sweepstakes. Sweepstakes Entities, as referenced herein, shall include Sponsors (as defined below) and their respective parent, subsidiary, and affiliate companies and their administrative, advertising, and promotion agencies, and any other entity involved in the development, administration, promotion, or implementation of the Sweepstakes.

TO ENTER: To Enter The Sweepstakes By Playing The Game: Beginning at 12:00:01 p.m. ET on January 20, 2010, coinciding with the scheduled initial television broadcast of the Show (check local listings for exact dates and times when Show will be aired), viewers will be invited to participate in the Burn Notice Online Game (“Game”) and Sweepstakes. With each initial television broadcast of a new episode of the Show, one (1) new Game mission (each a “New Game Mission”) will be introduced on the Burn Notice Online Game web site, located at burnnoticeops.com (“Web Site”) (see below chart for the Start Dates and Times of the New Game Missions). To enter the Sweepstakes by playing the Game, access the Web Site and follow the on-screen instructions to create a Burn Notice account by completing the Sweepstakes registration form. No purchase or payment is required to create a Burn Notice account. The Sweepstakes registration form consists of your first and last name, complete home address (including city, state and ZIP code) daytime telephone number (including area code), email address, gender, date of birth, acknowledged acceptance of the Official Rules and the Burn Notice user name and password of your choice (“Sweepstakes Registration”). You only need to complete the Sweepstakes Registration once; thereafter you may play the Game by entering your Burn Notice user name and password, clicking on the “Play Now” link, and then following the online mission instructions for each New Game Mission. Previous Game Missions will be available on the Web Site for play/Game Entry during the entire Sweepstakes Period. Burn Notice account holders who log in and successfully complete all seven (7) Game missions will be entered once into the Sweepstakes drawing (“Game Entry”). You may play the Game without registering for the Sweepstakes and you may enter the Sweepstakes without playing the Game, as further described below.

To enter the Sweepstakes without Sweepstakes Registration and Game play: Send an email with the following information: your first and last name, complete home address (including street address, city, state and zip code), date of birth, telephone number (including area code), email address and with the subject line “Burn Notice Entry” to webmaster@usanetwork.com (“Email Entry”, and together with “Game Entry” referred to herein collectively as “Entry”).

LIMIT ONE (1) ENTRY IN TOTAL PER PERSON DURING THE SWEEPSTAKES PERIOD. Regardless of the method of entry, you are limited to one (1) Entry per person. In addition, once a person has used an email address for either form of Entry, that email address may not be used for entry again.. Multiple Entries received from any person or email address beyond the stated limit will be void. Entries must be received by 9:59:59 p.m. ET on March 11, 2010. Sponsors’ computer shall be the official timekeeper for all matters related to this Sweepstakes. All Entries become the property of Universal Television Networks, 30 Rockefeller Plaza, 21st Floor, New York, NY 10112; NBC Universal, Inc., 30 Rockefeller Plaza, New York, NY 10112; and Hyundai Motor America, P.O. Box 20850, Fountain Valley, CA 92728-0850 (collectively, “Sponsors”) and will not be acknowledged or returned. Entries generated by a script, macro, or other automated means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. If there is a dispute as to the identity of an online entrant who made a potentially winning Entry, Sponsors will deem that the Entry was made by the authorized account holder of the email address used to enter. The “authorized account holder” is defined as the natural person to whom the email address is assigned by an Internet service provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Except where prohibited by law or Sponsors’ privacy policies, entry constitutes permission to use entrant’s name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity in any and all media now or hereafter known throughout the world in perpetuity without additional compensation, notification, permission, or approval.

PRIVACY: Any personal information supplied by entrants to Sponsors will be subject to Sponsors’ respective privacy policies posted at http://www.usanetwork.com/privacy/, http://www.nbc.com/Footer/Privacy/ and http://www.hyundaiusa.com/global/privacypolicy/privacypolicy.aspx. Game entrants will have the opportunity to receive information from Sponsors and selected partners by checking the appropriate box(es). If, at any time, you no longer wish to receive materials from Sponsors and/or selected partners, please go to the Sponsors’ respective privacy policies or the privacy policy of the applicable partner and follow the procedures indicated.

WINNER SELECTION AND NOTIFICATION: OOn or about March 18, 2010, seventy (70) potential second prize winners (collectively, “Second Prize Winners”), thirty five (35) potential first prize winners (collectively, “First Prize Winners”) and one (1) potential grand prize winner (“Grand Prize Winner”) will be selected in a random drawing by employees or representatives of Sponsors from among all eligible Entries received during the Sweepstakes Period. Each Second Prize Winner will be notified by mail upon receipt of his/her Second Prize (described below), within ten (10) weeks of the drawing date. In the event mail is returned as undeliverable mail without a forwarding address, Second Prize may be forfeited and an alternate potential Second Prize Winner may be selected from among all remaining eligible Entries at Sponsors’ discretion. Sponsors will make two (2) attempts within a twenty-four (24) hour period to notify each potential First Prize Winner and the Grand Prize Winner at the phone number and/or email address submitted at the time of entry. Each potential First Prize Winner will be required to complete a telephone eligibility questionnaire (“Questionnaire”) conducted by Sponsors’ representatives. By completing the Questionnaire, each potential First Prize Winner attests to the authenticity of his/her Entry. Potential Grand Prize Winner (or if a resident of a jurisdiction that deems potential Grand Prize Winner to be a minor, his/her parent or legal guardian) will be required to execute and return (via shipping service pre-paid by Sponsors) an Affidavit of Eligibility, Liability Release, Publicity Release (where legal) an IRS Form W-9 and any other documentation that Sponsors may require (collectively, “Sweepstakes Documents”) within five (5) days after receipt of those documents by the potential Grand Prize Winner or the potential Grand Prize Winner may be disqualified and an alternate potential Grand Prize Winner may be selected in a random drawing from the remaining eligible Entries at Sponsors’ sole discretion. By returning the completed Sweepstakes Documents, potential Grand Prize Winner attests to the authenticity of his/her Entry. If a potential winner cannot be reached, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, and/or if his/her prize or prize notification or prize correspondence is returned as undeliverable, such potential winner will be disqualified and an alternate potential winner may be selected in a random drawing from the remaining eligible Entries at Sponsors’ sole discretion. First Prizes, Second Prizes, prize notifications and Sweepstakes Documents will be shipped to addresses in the forty-eight (48) contiguous states of the United States or the District of Columbia only.

PRIZES: First Prizes:: There will be seventy (70) second prizes (each a “Second Prize”) awarded, each consisting of the following: one (1) Burn Notice Season One DVD; one (1) Burn Notice Season Two DVD; one (1) copy of the "The End Game" Burn Notice book; one (1) Burn Notice Long sleeved t-shirt; and one (1) Burn Notice Season 3 poster; (collectively, “BN Prize Pack”). The Estimated Retail Value (“ERV”) of each Second Prize ninety five dollars ($95). First Prizes: TThere will be thirty five (35) first prizes (each a “First Prize”) awarded, each consisting of the following: one (1) Minox “mini” Camera. The ERV of each First Prize is two hundred twenty five dollars ($225). There will be one (1) grand prize (“Grand Prize”) awarded consisting of the following: one (1) 2010 Hyundai Genesis Coupe. The ERV of the Grand Prize is twenty seven thousand five hundred dollars ($27,500). Total ERV of all Second Prizes, First Prizes and the Grand Prize (collectively, “Prizes”) is forty thousand twenty five dollars ($42,025). All Grand Prize features and options, interior and exterior colors, and all other details of the Grand Prize will be determined by Sponsors in their sole discretion. Grand Prize Winner will be responsible for all applicable state and local sales tax, and title, license and initial registration fees for his/her Grand Prize. Any differences between the stated ERV and the actual Manufacturer’s Suggested Retail Price (“MSRP”) will not be awarded. Any upgrades and additional options are at the sole expense of Winner. Grand Prize Winner (or Grand Prize Winner’s parent or legal guardian if Grand Prize Winner is a resident of a jurisdiction that deems Grand Prize Winner to be a minor) must take delivery of his/her Grand Prize at a location (“Delivery Site”) and on a date designated by Sponsors in their sole discretion or Grand Prize will be forfeited and Sponsors shall have no further Grand Prize obligation to Grand Prize Winner. Sponsors and/or their representatives reserve the right, but not the obligation, to designate the Delivery Site as Grand Prize Winner’s residence or a nearby dealership as determined by Sponsors in their sole discretion. Sponsors will use all reasonable efforts, subject to availability, to deliver Grand Prize within ninety (90) days of receipt of completed Sweepstakes Documents (as defined above). Sponsors are not responsible for any delays in the delivery of Grand Prize. In order to accept Grand Prize, Grand Prize Winner must possess and present adequate personal identification, evidence of legally required insurance, and a valid U.S. driver’s license issued by one (1) of the forty-eight (48) United States or the District of Columbia. Grand Prize Winner bears the risk of damage to his/her Grand Prize after delivery to specified Delivery Site and Grand Prize Winner’s vehicle will be forfeited if not picked up within thirty (30) days after delivery thereto. All reasonable efforts shall be used to provide the model stated above or at least a Grand Prize having substantially the same dealer cost, as determined by Sponsors in their sole discretion. Grand Prize Winner is solely responsible for all travel and transportation costs incurred in connection with collecting his/her Grand Prize, and all federal, state and local taxes, including, without limitation, income taxes, as well as title and license fees, registration fees, insurance, additional options, and any other costs incurred in claiming, registering, or using Grand Prize, including, without limitation, any costs incurred in bringing Grand Prize vehicle from the Delivery Site to Grand Prize Winner’s home and any other costs/expenses not specifically mentioned in these Official Rules as being included in the Grand Prize. Grand Prize will be delivered solely with the express written limited warranties set forth in the applicable warranty booklet. Grand Prize Winner is not eligible for any cash rebate programs. Grand Prize Winner agrees that Sponsors have neither made nor are responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Grand Prize, including, but not limited to, the quality, mechanical condition, or fitness of Grand Prize, except that the Grand Prize does include Hyundai’s standard new vehicle limited warranty as set forth in Grand Prize vehicle’s Warranty Booklet (see a local Hyundai dealership for full details). Grand Prize Winner will receive an IRS Form 1099 for the total ERV of his/her Grand Prize for the year in which Grand Prize was won. If Grand Prize Winner is deemed a minor, his/her Grand Prize will be awarded in the name of his/her legal guardian. All Prize details are at Sponsor’s sole discretion. Prizes will be awarded “as is” with no warranty or guarantee, either express or implied by Sponsors. Sponsors reserve the right to substitute a similar Prize (or Prize element) of comparable or greater value due to prize unavailability for any reason at their sole discretion. Each Prize winner is solely responsible for all costs, incidentals, and any other expenses not specifically mentioned as being included, including any additional installation or requested product upgrades and/or options. No substitution, transfer, or cash equivalent for Prizes (or Prize components) permitted by Prize winners. No substitution, transfer, or cash equivalent will be awarded in lieu of a Prize, except that Sponsors, at their sole discretion, reserve the right to substitute a Prize of comparable or greater value for any reason. Any depictions of Second Prizes, First Prizes, or the Grand Prize are for illustrative purposes only.

CONDITIONS: By entering the Sweepstakes, each entrant agrees for entrant and for entrant’s heirs, executors, and administrators (a) to release and hold harmless Sweepstakes Entities and their respective officers, directors, employees, shareholders, representatives, and agents (collectively, “Released Parties”) from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant’s participation in the Sweepstakes and/or his/her acceptance, possession, use, misuse, or inability to use Prize (including any travel and activities related thereto); (b) to indemnify Released Parties from any and all liability resulting or arising from the Sweepstakes and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to Prize, including express warranties provided exclusively by the Prize supplier that are sent along with Prize; (c) if selected as a Winner, to the posting of such entrant’s name on the Web Site and the use by Released Parties of such name, voice, image, and/or likeness for publicity, promotional, and advertising purposes in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission or approval and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error herein or in the Sweepstakes itself, and to be bound by all actions of the Sponsors, whose decisions are binding and final on all matters related to this Sweepstakes. Failure to comply with these conditions may result in disqualification from the Sweepstakes at Sponsors’ sole discretion.

ADDITIONAL TERMS: Sponsors reserve the right to terminate the Sweepstakes or permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules. Any attempt to deliberately damage the Sweepstakes or operation thereof is unlawful and subject to legal action by Sponsors, who may seek damages to the fullest extent permitted by law. Sponsors reserve the right to cancel, suspend, or modify the Sweepstakes should any computer virus, malfunction, or other cause beyond their control corrupt the administration, security, or proper operation thereof. In the event of such cancellation, suspension, or modification, the Prize may be awarded in a random drawing from among all eligible, non-suspect Entries received prior to the event requiring cancellation, suspension, or modification. Notice of cancellation, suspension, or modification will be posted on the Web Site. The failure of Sponsors to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities (excepting compliance with applicable codes and regulations), or other “force majeure” event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants’ or to any other person’s computer and/or telephone relating to or resulting from entering or downloading materials or software in connection with the Sweepstakes. Released Parties are not responsible for telecommunications, network, electronic, technical, mobile telephone service, or computer failures of any kind; for inaccurate transcription of Entry Information; for errors in any promotional, marketing, or Prize notification or fulfillment materials or in these Official Rules; for any human or electronic error; or for Entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned. Due to the nature of television, the broadcast dates and times of each initial television broadcast of a new episode of the Show (and, therefore, the dates and times of the posting of the New Game Missions) are subject to change. In the event the Show is canceled prior to exhibition, the Sweepstakes will terminate as of the date of cancellation and Administrator reserves the right, at its sole discretion, to award the Prize in a random drawing from among all eligible, non-suspect Entries received up to the time of such cancellation. Any changes will be posted on the Web Site. Sponsors may prohibit any entrant or potential entrant from participating in the Sweepstakes, if such entrant or potential entrant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsors, or Sponsors’ agents or representatives; or behaves in any other disruptive manner (as determined by Sponsors in their sole discretion).

DISPUTES: THE SWEEPSTAKES IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF (“JAMS RULES”). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE LICENSED TO PRACTICE LAW IN NEW YORK. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.
